Welcome to PropVault. These Terms and Conditions ("Terms") govern your use of our website, products and services, including but not limited to our buyer's agent advocacy web application ("Service") provided by PropVault.
By accessing or using this website and related services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you disagree, please close the browser and do not use our Service.
While we endeavour to keep the information up to date and correct, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability with respect to the Website or the information, products, services, or related graphics contained on the Website for any purpose. Any reliance you place on such information is therefore strictly at your own risk. You need to make your own enquiries to determine if the information or products are appropriate for your intended use.
In no event will we be liable for any loss or damage, including, without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from loss of data or profits arising out of, or in connection with, the use of this Website.

If you are an agent of another legal entity and accept these Terms on behalf of that entity, you must have an express or implied agency agreement with your principal. If you do not have such authority, then you are personally liable for the contract for products and services you enter into with PropVault.
These Terms form an integral part of any agreement between you and PropVault and supersede and replace any prior representation.
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Website.
The version of these Terms you accepted at sign-up governs your current fixed term. Changes take effect for you at the start of your next renewal period.
While the Website may provide generic information without requiring a user account, you may need to create one to access certain features of our Service. These services include:

Users must be at least 18 years old to create an account. By creating an account, users represent and warrant that they meet this age requirement. Once registered, the account will be activated upon verification.

Your subscription is at organisation level. Unless your invoice says otherwise, it covers all users in your organisation and an unlimited number of free client portal logins. Each user must have their own login, and login credentials must not be shared between individuals.
You must not resell, sublicense or rent the Service, or provide it as a service to any third party.
Users agree to use the community forums only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the forums by any third party. Prohibited behaviour includes harassing or causing distress or inconvenience to any person, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the forums. Users must not engage in any conduct that is misleading or deceptive or is likely to mislead or deceive.
By posting content on the Website, users grant PropVault a non exclusive, royalty free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. Users represent and warrant that they own or otherwise control all of the rights to the content that they post; that the content is accurate; that use of the content does not violate this policy and will not cause injury to any person or entity; and that they will indemnify PropVault for all claims resulting from content they supply.
Users agree to use the community forums only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the forums by any third party.
Users are responsible for maintaining the confidentiality of their account information and for all activities that occur under their account. Users must notify us immediately of any unauthorised use of their account or any other breach of security.
We reserve the right to terminate or suspend access to the community forums immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
We are committed to protecting your privacy. Any personal information collected will be handled in accordance with the Privacy Act 1988 and the Australian Privacy Principles, and our Privacy Policy. Users must ensure that their use of the Service complies with all applicable privacy laws.
You own the data you and your users put into PropVault. We claim no ownership in it. You grant us a licence to host, store, process and display it to the extent necessary to provide the Service.
Where we handle personal information about your clients and contacts, we do so on your behalf. You are responsible for having a lawful basis and any required consents for that information.
You should keep your own copies of business-critical records. On termination or expiry you may request an export of your data within 30 days. After that period we may delete or archive it, subject to any legal retention obligation.
Every effort is made to keep the Website up and running smoothly. However, www.propvault.com.au takes no responsibility for, and will not be liable for, the Website being temporarily unavailable due to technical issues beyond our control.
The Website is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of the Website or the information, content, materials, or products included on the Website.
To the fullest extent permitted by law, PropVault shall not be liable for any damages of any kind arising from the use of the Website, including but not limited to direct, indirect, incidental, punitive, and consequential damages. To the extent we are liable, our total liability is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
The information provided on the Website is for general informational purposes only and does not constitute professional advice. We do not guarantee the accuracy, completeness, or reliability of any information related to real estate transactions. Property data shown in the platform — including overlays, listings, valuations and calculations — is indicative only and must be independently verified.
The Website may contain links to, and some functions depend on, third party services — including identity verification providers, property data providers, listing portals, calendar and email providers, and advertising platforms.
Charges for third party services are separate and are not included in your subscription fees. We do not control those services and are not responsible for their availability, accuracy, pricing or continued existence. Their withdrawal or change is not a breach of these Terms.
All content on this Website, including but not limited to text, graphics, logos, images, audio clips, video clips, digital downloads, data compilations, software, and our agent and partner databases, is the property of PropVault or its content suppliers and is protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
PropVault grants you a limited, non exclusive, non transferable licence to access and make use of the Website for your internal business purposes during your subscription. Unless otherwise expressly agreed this licence does not include any resale or commercial use of the Website or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Website or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.
You may not, except with our express written permission, distribute or commercially exploit the content. You may not transmit it or store it on any other website or other form of electronic retrieval system.
PropVault operates on fixed term service agreements of either six (6) or twelve (12) months. Each agreement begins on the date of activation and includes a one off onboarding fee to prepare, configure, and import data into the platform.
Our pricing is tiered by term length — a longer commitment attracts a lower monthly rate. The rate on your invoice reflects the term you chose, and is the consideration for that commitment. Your rate is fixed for your term.
All fees are exclusive of GST, which is payable in addition. Invoices are payable within 7 days unless stated otherwise. If an invoice is unpaid we may suspend access until it is settled; suspension does not pause your term or reduce the fees payable.
The onboarding fee is non refundable once data migration or setup work has commenced, as this service involves dedicated time and resources unique to your account. Work is taken to have commenced when we issue your import template, review your data, or hold a scoping or configuration session.
All subscription payments made for a 6 or 12 month term are non refundable once the agreement has started. If you choose to cancel early, the remaining balance for the term will still be payable in full, as the platform access and infrastructure are provisioned for the entire agreement period.
We do not provide refunds for change of mind, unused periods within an active subscription, or decisions to discontinue use of the platform during the agreed term.
If you ask to pause, delay or defer onboarding, migration, training or go live for any reason, your term is not paused or extended, fees continue to accrue, and no credit or refund is payable for the period of the pause.
If a pause exceeds 30 days, data already supplied to us may become out of date. Refreshing or re-loading that data is additional work and may be quoted separately.
At the end of your term your subscription continues on a rolling monthly basis at our then-current rate, unless you give us at least 30 days' written notice before your term expires, by email to info@propvault.com.au. Once on a rolling monthly basis, either party may end the subscription on 30 days' written notice.
Notice given by phone, WhatsApp or in a meeting is not effective notice — it must be in writing to the address above. We will confirm receipt in writing.
PropVault's refund policy complies with applicable Australian laws. Except to the extent required by law, all fees are non refundable once paid. If you believe a legal entitlement applies to your situation, please contact us at info@propvault.com.au and we will assess your request in good faith.
PropVault is actively developed and we release new features regularly. Anything described as coming, planned, in progress or on the roadmap — whether mentioned on a call, in a demonstration, in a proposal or in marketing material — is an indication of intent, not a commitment.
Timing indications for unreleased features are estimates, and delivery often depends on third parties outside our control. Please subscribe based on what the platform does today. Delay in, or non-delivery of, a roadmap item is not a breach of these Terms.
If a specific feature is essential to your decision, ask us to record it in writing on your invoice or order confirmation before you accept these Terms.
These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law principles.
